Welcome to Troup.ai. These Terms of Use ("Terms") govern your access to and use of our AI‑powered legal practice management platform ("Service"). Please read carefully. By using Troup.ai, you agree to these Terms and our Privacy Policy.
1. Eligibility & License
You must be at least 18 years old and authorized to bind your organization. Subject to these Terms, Arishu, LLC grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your internal legal practice.
2. Account & Security
You are responsible for maintaining the confidentiality of your account credentials and any activity under your account. You must not share access or impersonate another user. Notify us immediately of any unauthorized use.
3. User Content & Data Ownership
You retain full ownership of all data, documents, templates, matters, and other content ("Customer Content") you upload. You grant Arishu, LLC the right to process Customer Content to provide, improve, and support the Service, including via AI.
4. AI Functionality; Accuracy & Limitations
Our platform leverages AI models such as OpenAI's ChatGPT (and others) trained on your own data. AI outputs are for informational and drafting assistance only and are not legal advice. You are solely responsible for reviewing all AI-generated content, ensuring accuracy, compliance, and professional judgements.
5. Restrictions
You agree not to:
- Use the Service for unlawful or unauthorized purposes.
- Attempt to reverse engineer, decompile, or modify the Service.
- Access the Service in any way that could harm or overload it.
6. Fees & Payment
If you subscribe to a paid plan, you agree to pay all applicable fees. Fees are billed monthly or annually and are non-refundable except as required by law.
7. Intellectual Property
Arishu, LLC retains all rights, titles, and interest in the Service, software, trademarks, logos, documentation, and AI models. You may not copy, distribute, or create derivatives of the Service or any part of it.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary information exchanged during the use of the Service and adopt reasonable security measures.
9. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. ARISHU, LLC DOES NOT WARRANT THAT THE SERVICE IS ERROR‑FREE OR WILL MEET YOUR NEEDS. TO THE MAXIMUM EXTENT ALLOWED BY LAW, ARISHU, LLC'S LIABILITY FOR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS IS EXCLUDED OR LIMITED TO THE AMOUNT YOU HAVE PAID IN THE PRIOR 12 MONTHS.
10. Termination & Suspension
We may suspend or terminate your access if you breach these Terms or we decide to discontinue the Service. You may terminate at any time by discontinuing use. Upon termination, your account access will be revoked. We may retain Customer Content as required to fulfill legal obligations.
11. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflicts of laws principles. Any disputes will be resolved in the state or federal courts located in Santa Clara County.
12. Changes to Terms
We may modify these Terms at our discretion. Changes become effective upon posting. Continued use after changes indicates acceptance. The "last_updated" date above reflects when these Terms were last revised.
